1. Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Online Offline LLC, a New Jersey limited liability company (“Online Offline,” “we,” “us,” or “our”), the provider of Munshee. They govern your access to and use of our websites, the Munshee web app, and the Munshee connector for Claude (together, the “Service” or “Munshee”).
By creating an account, connecting Munshee to Claude, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
2. The Munshee service
Munshee is the software that runs your business inside Claude. It gives you structured systems — such as customers, products and services, projects, tasks, transactions, documents, and conversations, plus any custom systems you define — and a web app where you can view your records and their history and manage your team, Claude’s access, and billing. When you connect your Claude account through the Munshee connector, Claude can read and write those records on your behalf, subject to the access controls you configure.
You decide which systems are active, what information you keep in them, and what level of access (read, write, or ask-first) Claude has to each system and field. We may improve, add, or change features over time, as described in section 16.
3. What Munshee is not
Munshee is a record-keeping platform. It helps you organize and act on your business information; it does not provide professional services. In particular:
- Munshee does not move money. Transactions such as quotes, invoices, payments, expenses, and refunds are stored as records. Munshee does not charge cards, transfer funds, or execute financial transactions on your behalf.
- Munshee is not professional advice. The Service, and any content generated with the help of Claude, is not legal, tax, accounting, or financial advice. You are responsible for verifying records and decisions, and for consulting a qualified professional where appropriate.
- Munshee is a tool, not the decision-maker. You remain responsible for the actions you and Claude take through the Service, including the accuracy of records and any communications you send based on them.
4. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. Authentication is handled by our identity provider, WorkOS; you are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account.
The Service is organized into workspaces. A workspace owner may invite members and guests, and may control their access. You are responsible for the conduct of everyone you invite to your workspace and for ensuring their use complies with these Terms. Notify us promptly at hello@themunshee.com if you believe your account has been compromised.
5. Claude & the MCP connector
Munshee provides the tools that Claude operates; it is not itself the AI. Claude is a separate service operated by Anthropic, PBC. To use Munshee inside Claude, you connect your own Claude account to Munshee using a custom connector built on the Model Context Protocol (MCP). Munshee works with any Claude plan, including the free plan. Your use of Claude is governed by your own agreement with Anthropic and by Anthropic’s terms and policies, not by these Terms.
When you ask Claude to do something, Claude calls Munshee’s tools and receives only the records needed to fulfill your request, within the access you have granted. AI output can be inaccurate, incomplete, or unexpected. You are responsible for reviewing what Claude proposes before relying on it — especially actions that create, change, or delete records. We recommend keeping high-impact systems set to “ask-first” so that writes are confirmed before they are saved.
6. Your data & content
As between you and Munshee, you own the data and content you store in the Service (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and back up Customer Data solely as needed to provide, secure, and support the Service, and as otherwise permitted in our Privacy Policy. We do not sell Customer Data, and we do not use Customer Data to train machine-learning models.
You are responsible for your Customer Data, including having the necessary rights and, where required, consents or another lawful basis to store information about your own contacts and to process it through the Service and through Claude. You can read your records in the web app at any time, and through Claude while your workspace has an active plan (or early-access free months), and we will send you a copy of your workspace’s data if you ask us; you are responsible for keeping your own copies of important data.
7. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service in violation of any law or the rights of others;
- upload or process content that is unlawful, infringing, or that you do not have the right to process;
- attempt to access another customer’s data, defeat tenant isolation, or probe, scan, or test the vulnerability of the Service without our written permission;
- introduce malware, or interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, decompile, or attempt to extract source code, except to the extent this restriction is prohibited by law;
- resell, sublicense, or provide the Service to third parties except as expressly permitted;
- use the Service to send spam or to violate Anthropic’s usage policies when acting through Claude.
8. Plans, billing & cancellation
Munshee is a paid service, billed through our payment processor, Stripe. New workspaces do not include a free trial: Claude can work with a workspace’s records while the workspace has an active plan. Only the workspace owner can choose, change, or cancel the plan.
Plans and prices
- Solo — $9.99 a month, for one person. A Solo workspace has only its owner: no other members and no guests.
- Team — $20 a month for up to five people, plus $4 a month for each extra person. Every member of the workspace counts as a person, including the owner, admins, and suspended members. Guests are free and never count. A Team workspace can have up to 50 people.
Both plans include every system, and there are no usage fees. Prices are in U.S. dollars and do not include taxes; where taxes apply, they are added to your bill and you are responsible for paying them. Munshee works with any Claude plan. Your Claude plan is a separate agreement with Anthropic and is not part of your Munshee subscription.
Launch pricing, for as long as you stay subscribed
The prices above are our launch pricing. They are the prices we charge today, not a discount from a higher price. When you subscribe at launch pricing, your prices — including the Team price for each extra person — stay the same for as long as your subscription stays active. If your subscription ends and you subscribe again later, the prices in effect at that time apply.
Price changes
We may change our prices in the future. A change applies to new subscriptions. It does not apply to a subscription on launch pricing while that subscription stays active.
Automatic monthly renewal
Your subscription is billed monthly, in advance, and renews automatically each month until you cancel. By subscribing, you authorize us and Stripe to charge your payment method each month for your plan, for any extra people on Team, and for any taxes, until you cancel. Card details are handled by Stripe; Munshee never receives or stores your full card number.
Adding and removing people on Team
Extra people (beyond five) are billed from the day they join the workspace; an invitation alone is not billed. The charge is prorated for the rest of that month and added to your next monthly bill. When someone leaves a workspace that has more than five people, the unused part of the month for that person is credited against your next bill. It is a credit, not a refund. While a workspace has five people or fewer, adding or removing someone does not change the bill.
Changing plans
Moving from Solo to Team charges the prorated difference for the rest of the current month straight away. You can move from Team to Solo when the workspace has only you in it, with no guests and no pending invitations; the unused part of the Team fee is credited against your next bill.
Cancelling
You can cancel anytime, online, in the web app under Settings → Plan & billing. Cancellation takes effect at the end of the month you have already paid for: you keep using Munshee until then, you are not charged again, and you can undo the cancellation before that date. After it, your workspace and its records are kept, but Claude cannot work with them until a plan is active again.
Refunds
If you ask within 14 days of your first payment, we will refund that payment in full. The same applies to your first payment at a new price after a price change. For an early-access workspace (section 9), the first payment is the first charge after its free months end. To ask, email hello@themunshee.com from the email address on your account. We refund to the original payment method, and we also cancel the subscription so you are not charged again.
Apart from these refunds and the credits described above, payments are not refundable, except where the law requires otherwise.
Failed payments
If a payment fails, Stripe will try it again, and you keep using Munshee while it does. You can update your card in Settings → Plan & billing. If the payment still cannot be collected, the subscription stops and Claude cannot work with your records until you choose a plan again. Your workspace and its records are kept.
9. Early-access workspaces & beta features
Workspaces created before our public launch (“early-access workspaces”) get three months free, counted from our launch date (90 days). No card is needed during the free months, and the date they end is shown in the web app.
During the free months, the workspace owner can choose Solo or Team and add a card at any time. Nothing is charged until the free months end. On that date the card is charged for the chosen plan — $9.99 a month for Solo, or $20 a month plus $4 a month for each person beyond five for Team — and the subscription then renews monthly until you cancel. We will email you before that first charge. You can cancel at any time before the free months end and pay nothing. Discount codes cannot be used during the free months.
If no plan is chosen by the time the free months end, nothing is charged, and Claude cannot work with the workspace’s records until the owner chooses a plan. The workspace and its records are kept.
We may also offer features labelled beta, preview, or experimental. They are provided “as is” and may change or be withdrawn at any time. From time to time we may offer discount codes; each code’s terms are shown when it is offered.
10. Suspension & termination
You may stop using the Service and cancel your subscription at any time (section 8). We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to others or to the Service, and we will use reasonable efforts to give you notice where practical.
If your subscription ends, we keep your workspace and its records: you can still sign in to the web app to see them, and Claude can work with them again once a plan is active. You can ask us at any time for a copy of your data, or to delete your account or workspace, as described in our Privacy Policy. If we terminate your access, we will give you a reasonable opportunity to get a copy of your Customer Data before we delete it, unless the law or the reason for termination prevents it. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.
11. Intellectual property
The Service, including its software, design, and trademarks, is owned by Online Offline LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No rights are granted except as expressly set out here.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use it to improve the Service, without obligation to you.
12. Third-party services
The Service relies on third-party providers — including Anthropic (Claude), WorkOS (sign-in), Supabase (database), Cloudflare (file storage), Google Cloud and Vercel (hosting), Stripe (payments), and Brevo (email). Your use of those services through Munshee may be subject to their own terms, and we are not responsible for the acts, omissions, or availability of third-party services. Our Privacy Policy lists the providers that process personal information on our behalf.
13. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content — including content produced with the help of Claude — will be accurate or complete. You use the Service at your own discretion and risk.
14. Limitation of liability
To the maximum extent permitted by law, Online Offline and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You will defend, indemnify, and hold harmless Online Offline and its officers, members, and employees from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to your Customer Data, your use of the Service, or your violation of these Terms or of applicable law.
16. Changes to the Service or these terms
We may modify the Service, and we may update these Terms from time to time. If we make material changes, we will tell you by email or in the Service before they take effect. Changes to the price of your subscription follow section 8 instead. Your continued use of the Service after changes take effect means you accept the updated Terms. The version and “Last updated” date at the top of this page identify the current Terms, and the version you agree to when you subscribe is recorded with your subscription.
17. Governing law & disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You and Munshee agree to the exclusive jurisdiction of the state and federal courts located in New Jersey for any dispute that is not otherwise subject to a binding alternative process agreed in writing, and each party consents to venue in those courts.
18. General
These Terms, together with our Privacy Policy and the plan details shown when you subscribe, are the entire agreement between you and Munshee regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be sent by email or posted in the Service; notices to us should be sent to the address below.
